TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between Virtual HomeZen LLC ("Virtual HomeZen", "we", "us" or "our") and the individual or entity using our services ("Client", "you" or "your"). By creating an account, placing an order or otherwise using our services, you agree to these Terms.
1. SERVICES
Virtual HomeZen provides digital image services for real estate and related industries, including virtual staging, 360° virtual staging, virtual renovation, 3D architectural rendering and photo enhancement (collectively, the "Services"). Orders are placed and delivered through our client studio at app.virtualhomezen.com (the "Studio").
All work is performed by human designers. We do not deliver automatically generated output in place of designer work.
2. ELIGIBILITY AND ACCOUNTS
Our Services are intended for business and professional use. You must be at least 18 years old and have the legal authority to enter into these Terms, on your own behalf or on behalf of the entity you represent.
You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately at hello@virtualhomezen.com of any unauthorized use.
3. CLIENT MATERIAL AND WARRANTIES
You retain ownership of all photographs, floor plans, references and other material you upload ("Client Material"). You grant us a limited license to use, reproduce and modify Client Material solely to perform the Services you have ordered.
You represent and warrant that you own the Client Material or have all necessary rights and permissions to submit it to us and to authorize the edits you request, including any rights held by the photographer, property owner or brokerage.
4. OWNERSHIP OF DELIVERED IMAGES
Upon full payment for an order, you receive full rights to use the delivered images for any lawful purpose, including MLS listings, real estate portals, websites, social media, print and client presentations.
We do not resell, relicense or use your original files for any purpose other than fulfilling your order.
You grant Virtual HomeZen LLC a non-exclusive, perpetual, worldwide, royalty-free license to display the delivered images in our portfolio, website, social media and marketing materials, without disclosing the property address or your identity. You may request removal of any specific image at any time by written notice to hello@virtualhomezen.com, and we will remove it from our own channels within a reasonable period.
If an order is subject to a confidentiality agreement or you do not want the resulting images used in our portfolio, notify us in writing at hello@virtualhomezen.com before or at the time of submission, and we will exclude those images from portfolio use.
5. ORDERS, DELIVERY AND REVISIONS
Standard turnaround for virtual staging is 24 hours, Monday to Friday, for orders of up to 20 images. Larger orders and other Services may require additional time; where that is the case, we confirm a delivery estimate before the order is processed. Orders placed over a weekend or public holiday may take longer. Delivery times are estimates and are not guaranteed, though we make reasonable efforts to meet them.
Each order includes up to five (5) rounds of revisions at no additional charge, submitted through the Studio. Revision requests that change the original brief — a different style, a different room layout, or work not included in the original order — may be treated and priced as a new order.
We may decline or request a re-upload of source images that are too blurred, out of focus or low in resolution to work with. Where an image cannot be processed, we will notify you before charging for it.
6. COMPLIANCE AND CLIENT RESPONSIBILITY
Virtual staging as delivered by us adds furniture, decor and similar non-structural elements and does not alter walls, floors, windows, ceilings or views.
Virtual renovation, 3D rendering and certain additional services intentionally alter the appearance or structure of a property. Images produced by these Services are not intended for use as MLS listing photographs.
You are solely responsible for how delivered images are published, labelled and disclosed, and for compliance with MLS rules, NAR guidelines, local advertising regulations and any brokerage policy that applies to you.
7. PRICING AND PAYMENT
Prices are published at virtualhomezen.com/pricing and may be updated from time to time. The price applicable to an order is the price displayed at the time the order is placed.
Payment is processed by Stripe. We do not store your card details on our systems. By submitting payment, you authorize the charge for the order placed.
Studio credits, where purchased, are applied to the balance of your account and may be used for any of our Services. Credits do not expire. Credits are non-transferable and, except as required by applicable law or as set out in our Refund Policy, are non-refundable once purchased.
8. REFUNDS
Refunds are governed by our Refund Policy, which forms part of these Terms.
9. ACCEPTABLE USE
You agree not to, and not to permit others to:
- upload material you do not have the right to submit, or that infringes the rights of any third party;
- upload unlawful, defamatory, discriminatory, sexually explicit or otherwise objectionable content;
- use the Services to create images intended to deceive, misrepresent a property in violation of applicable advertising law, or facilitate fraud;
- resell, sublicense or white-label our Services without a written agreement with us;
- copy, modify, reverse engineer, decompile or create derivative works of the Studio or any part of our platform;
- interfere with the operation of our platform, including by transmitting malicious code or attempting unauthorized access;
- abuse, harass or threaten our staff or other users.
We may suspend or terminate an account that breaches this section, without refund of work already performed.
10. OUR INTELLECTUAL PROPERTY
Our name, logo, website, Studio platform, visual designs, written content and all related materials are owned by Virtual HomeZen LLC or our licensors and are protected by copyright, trademark and other intellectual property laws. Nothing in these Terms transfers any right in them to you, other than the rights in delivered images set out in Section 4.
11. PRIVACY
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms. Our platform is hosted in the United States. If you access it from another jurisdiction, you consent to your data being transferred to and processed in the United States. If you do not agree to that transfer, do not use our Services and contact us so we can delete your data.
12. DISCLAIMER OF WARRANTIES
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE MAKE NO GUARANTEE AS TO ANY COMMERCIAL RESULT, INCLUDING SALE PRICE, SPEED OF SALE OR LISTING PERFORMANCE.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY LOST PROFITS OR CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) AND THE AMOUNT YOU PAID US FOR THE ORDER GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. INDEMNIFICATION
You agree to defend, indemnify and hold harmless Virtual HomeZen LLC from and against all liabilities, damages, losses and expenses of any kind (including reasonable legal fees) relating to or arising out of: (a) your use of the Services; (b) your breach or alleged breach of these Terms; (c) Client Material you submit, including any claim that it infringes a third party's rights; or (d) your publication or use of delivered images, including any claim of non-compliance with MLS, NAR or advertising rules.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. The parties will first attempt to resolve any dispute informally by contacting us at hello@virtualhomezen.com. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and both parties consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. CHANGES TO THESE TERMS
We may amend these Terms from time to time. Where changes are material, we will notify you by email to the address registered on your account or by notice within the Studio. Changes take effect for new orders placed after the effective date of the notice. Continued use of the Services after that date constitutes acceptance of the amended Terms. Orders already in progress are governed by the Terms in force when the order was placed.
17. GENERAL
You may not assign these Terms without our prior written consent; we may assign them freely. If any provision is found unenforceable, it will be interpreted to give effect to its intent as far as possible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that or any other provision. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements and communications on the subject.
